Terms of Service

1. Who we are and these terms
The Optical Exchange (the "Platform") is operated by Drone Imagery Services Ltd ("we", "us", "our"), a company registered in England and Wales under company number [COMPANY NUMBER], whose registered office is at [REGISTERED OFFICE ADDRESS]. By registering for or using the Platform, you ("you", "your" or "the member") agree to these Terms. If you don't agree, don't use the Platform.
2. Who can use the Platform
The Platform is for genuine, registered optical practices in the United Kingdom and the Republic of Ireland. By registering you confirm that:
- you are authorised to act on behalf of your practice;
- the information you provide is accurate; and
- you will keep your login details secure and not share your account.
We verify practices before granting full access. We may refuse, suspend, or remove any account at our discretion, including where we cannot verify a practice or where these Terms are breached.
3. What the Platform is — and what it is not
The Platform is a venue that lets verified practices find each other and arrange to buy, sell, or swap stock directly between themselves. This is important:
- We are an introducer and listing service only. We are not a party to any transaction between members.
- We do not own, hold, inspect, handle, or dispatch any stock, and we do not process payments between members.
- Any contract for the sale, purchase, or swap of stock is made directly between the two members involved. Delivery, payment, condition, returns, and any dispute are entirely between those members.
- We do not guarantee the accuracy of any listing, the condition or authenticity of any stock, or that any member will complete a deal.
4. Your responsibilities as a member
You agree that:
- You have the legal right to sell or swap anything you list. You are responsible for ensuring that listing and selling your stock does not breach any agreement you have with a supplier, brand, or third party. We are not responsible for any such breach.
- Your listings are accurate and honest, including brand, model, condition, and price.
- You will deal with other members fairly, lawfully, and in good faith.
- You will not misuse the Platform (see clause 5).
5. Prohibited conduct
You must not: post false, misleading, or unlawful listings; list stock you have no right to sell; impersonate another practice; misuse other members' contact details; attempt to disrupt or gain unauthorised access to the Platform; or use the Platform for anything unlawful.
6. Membership and fees
[PRICING TO BE CONFIRMED — complete before charging.] Listing your stock is free. Full terms of any paid membership, including price, billing, renewal, and cancellation, will be provided to you before any charge is made.
7. Verification and the blue tick
We verify practices to maintain a trusted network. Verification is our assessment and is not a guarantee about any member. We may change a member's verification status, or remove the blue tick, at any time.
8. Intellectual property
The Platform, its design, and its content (excluding member-supplied listings) belong to us. You may use the Platform only as intended. You keep ownership of your own listing content but grant us permission to display it on the Platform.
9. Disclaimers
The Platform is provided "as is". To the fullest extent permitted by law, we do not warrant that it will be uninterrupted or error-free, or that any listing, member, or transaction will meet your expectations.
10. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law (including liability for death or personal injury caused by negligence, or for fraud). Subject to that, we are not liable for: any dealing, dispute, loss, or damage arising between members; the condition, quality, legality, or authenticity of any stock; or any indirect or consequential loss.
11. Indemnity
You agree to indemnify us against claims and losses arising from your listings, your dealings with other members, or your breach of these Terms — including any claim that you did not have the right to sell stock you listed.
12. Data protection
We handle your personal data as described in our Privacy Policy.
13. Suspension and termination
You may close your account at any time. We may suspend or terminate access where these Terms are breached or to protect the Platform or its members.
14. Changes to these terms
We may update these Terms. We'll notify members of significant changes, and continued use means you accept the updated Terms.
15. Governing law
These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
